End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is a legal agreement between you (“Licensee”) and AEMS (“Licensor”) for the use of AEMS Personal, including the hosted AEMS application and the paired local AEMS Agent (collectively, the “Software”). By using the Software, you agree to be bound by the terms of this Agreement.

1. Grant of license

Subject to the terms of this Agreement and payment of applicable fees, the Licensor grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on devices you own or control, for the purpose of marking academic exam submissions.

• The license is valid for the subscription period specified at purchase.
• The number of simultaneous installations is limited to the seat count included in your subscription.
• The license is for your personal or institutional use and may not be sublicensed or resold.

2. License validation

The Software requires an AEMS account with an active subscription for access to subscription-gated features. Subscription state is enforced server-side when you sign in and when you start protected operations. If the subscription expires, is cancelled, or is revoked, access may be limited or the account may be locked until billing is restored.

3. Restrictions

You may not:

• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software.
• Modify, adapt, or create derivative works based on the Software.
• Remove, alter, or obscure any copyright, trademark, or proprietary notices.
• Distribute, sublicense, lease, rent, or lend the Software to third parties.
• Use the Software to provide a managed or hosted service to third parties.
• Circumvent or disable any license validation, security, or access control mechanisms.

4. Data and privacy

AEMS Personal uses a hosted account workflow together with a paired local agent. Source exam PDFs can be stored on your machine via the agent, while AEMS services store account, billing, subscription, and grading workflow data.

The Software communicates with AEMS services for:

• Account authentication and password management
• Subscription enforcement, billing, and transactional email delivery
• Fetching locally stored submissions from your paired agent when you initiate grading in the hosted app

AI inference is performed via the provider you configure (local model or third-party API). Your use of third-party AI providers is subject to their respective terms and data policies. AEMS is not responsible for how third-party providers handle data you send to them.

5. Updates

The Software may check for updates on launch. You will be notified when a new version is available. Critical security updates may require installation before the Software can continue operating. You may disable non-critical update notifications in Settings.

6. Intellectual property

The Software and all associated documentation, trademarks, and intellectual property remain the exclusive property of the Licensor. This Agreement does not transfer any ownership rights to you. You retain full ownership of your exam content, marking schemes, and grading results.

AEMS is currently in testing and evaluation. Commercial licensing terms may apply for production or enterprise use; contact the Licensor for details.

7. Disclaimer of warranties

The Software is provided “as is” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

The Software uses AI models to propose marks and annotations. These proposals are suggestions only. The Licensor does not guarantee the accuracy of AI-generated assessments. The Licensee is solely responsible for reviewing and approving all grades before they are shared with students.

8. Limitation of liability

To the maximum extent permitted by law, the Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software. The Licensor’s total liability shall not exceed the amount you paid for the license in the 12 months preceding the claim.

9. Termination

• This Agreement is effective until terminated.
• Your license terminates automatically if your subscription expires and is not renewed.
• The Licensor may terminate this Agreement immediately if you breach any of its terms.
• Upon termination, you must uninstall the Software and destroy all copies. Your locally stored exam data is yours and is not affected by termination.

10. Governing law

This Agreement is governed by the laws of Sweden. Any disputes shall be resolved in the courts of Sweden, unless otherwise required by mandatory consumer protection law.
